Full Definition
TTM and LTM are used interchangeably in M&A practice. Both refer to rolling 12-month measurements — as new months complete, the oldest month drops off and the newest is added. TTM captures current business performance better than fiscal year metrics (which age as the year progresses) and actual performance better than forward projections (which are inherently uncertain).
How it works: TTM calculation: TTM EBITDA = fiscal year EBITDA + YTD current year EBITDA − YTD prior year EBITDA. Example: fiscal 2024 EBITDA $5M; Jan-Aug 2025 EBITDA $3.4M; Jan-Aug 2024 EBITDA $3.1M. TTM EBITDA (as of August 2025) = $5M + $3.4M − $3.1M = $5.3M.
Deals are typically quoted on TTM Adjusted EBITDA as the denominator. "6x TTM" means 6 times trailing twelve months. TTM is preferred over fiscal year because it's more current and more predictive.
For seasonal businesses, TTM captures a full seasonal cycle — a useful property. For rapidly growing or declining businesses, TTM can lag current reality.
Seller vs. Buyer Perspective
Understand your TTM trajectory. If growing, TTM will be higher than prior fiscal year — use this. If declining, TTM will be lower — be prepared to explain. Time your sale process to position TTM favorably. Month-over-month trends matter to sophisticated buyers, not just the 12-month total.
TTM is the standard valuation benchmark, but test against trailing 24 months, fiscal year, and quarter-over-quarter trends. Sellers sometimes time deals to capture unusually strong periods in TTM; watch for this. Validate sustainability of recent performance.
Real-World Example
A sale process launches September 2025 on a business with fiscal 2024 EBITDA of $4.5M. Jan-Aug 2025 EBITDA: $3.3M (vs. Jan-Aug 2024 of $2.9M). TTM EBITDA as of August 31, 2025: $4.5M + $3.3M - $2.9M = $4.9M. Deal priced on TTM: 5.5x × $4.9M = $27M. Had the seller used fiscal 2024 only, same multiple would produce $24.75M — a $2.25M difference driven by using TTM vs. fiscal year.
