Terms of Service

1. Acceptance of terms
These Terms of Service (“Terms”) govern your access to and use of legacyvector.com and any related applications, tools, calculators, market data, and newsletter content (together, the “Service”), operated by Thesis Capital (“Thesis Capital,” “LegacyVector,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Who can use the Service
You must be at least 18 years old and capable of forming a binding contract to use the Service. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
3. Description of the Service
LegacyVector aggregates publicly available and licensed data on businesses for sale, SBA lending activity, industry valuation multiples, and related market data, and makes it available through a free weekly newsletter, free tools and calculators, and paid subscription tiers (currently Analyst, Pro, and Enterprise). Some data is estimated or modeled (for example, revenue, EBITDA/SDE ranges, and enrichment fields) rather than sourced directly from audited financial statements, and may not reflect current or complete market conditions.
4. Not financial, legal, or investment advice
The information provided through the Service is for educational and informational purposes only and should not be considered financial, legal, tax, or investment advice. Business valuations depend on many factors specific to each situation. Always consult qualified professionals — including business brokers, CPAs, and M&A attorneys — before making acquisition or sale decisions. LegacyVector is not a licensed broker, financial advisor, or attorney. We do not recommend, endorse, or facilitate any specific transaction, and we are not a party to any transaction between users and third parties (including sellers, buyers, brokers, or lenders identified through the Service).
5. Accounts and subscriptions
Paid tiers are purchased through Stripe-hosted checkout. We do not collect or store your full payment card details — Stripe processes payment on our behalf. When you complete a purchase, an account is provisioned automatically from the email address used at checkout, and you’ll receive an email to set a password.
Monthly subscriptions renew automatically each month and may be canceled at any time, effective at the end of the current billing period. Annual subscriptions are billed in full up front for a 12-month term. Enterprise pricing is negotiated directly and governed by any separately executed order form, which controls over these Terms in the event of a conflict for that account. Fees are non-refundable except where required by law or expressly stated otherwise at the time of purchase.
You’re responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
6. Acceptable use
You agree not to:
- Scrape, crawl, or bulk-extract data from the Service outside your plan’s intended use;
- Resell, sublicense, or redistribute Service data to a third party as a standalone product;
- Reverse-engineer, decompile, or attempt to derive the source code of the Service;
- Use the Service to build a directly competing product;
- Circumvent rate limits, access controls, or subscription tier restrictions; or
- Use the Service in violation of any applicable law, including data protection and anti-spam laws.
7. Intellectual property
The Service, including its compiled data, enrichment, design, and underlying software, is owned by Thesis Capital and its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your own internal business or personal purposes.
8. Third-party links and services
The Service may link to or integrate with third-party websites and services (including business brokers, marketplaces, and payment or email providers) that we do not control. We are not responsible for the content, accuracy, or practices of any third-party site or service.
9. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any data (including listing, financial, or enrichment data) is accurate, complete, or current.
10. Limitation of liability
To the fullest extent permitted by law, Thesis Capital will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total liability for any claim arising out of these Terms or the Service will not exceed the amount you paid us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold Thesis Capital harmless from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Service or your violation of these Terms.
12. Termination
We may suspend or terminate your access to the Service at any time for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our discretion. You may stop using the Service and cancel your subscription at any time.
13. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles, and any dispute arising under these Terms will be resolved in the state or federal courts located in Texas, unless otherwise required by applicable law.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the “Effective” date above. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
